These terms govern all sales of goods by Straits Packaging Ltd ("we", "us"), a company registered in England and Wales (Company No. 17174083, registered office 82a James Carter Road, Mildenhall, IP28 7DE), to business customers through www.straitspackaging.co.uk, by phone or by email. We sell to businesses only; these terms assume you are not dealing as a consumer.
Submitting an order through the website, by phone or by email is an offer to buy. No payment is taken online. We accept your offer when we issue an order acknowledgement or invoice, whichever comes first. We may decline or cap any order, for example where stock on hand is insufficient.
All prices are quoted in pounds sterling and exclude VAT, which is added at the prevailing rate on the invoice. Prices shown on the website are per pack unless stated otherwise. We may correct obvious pricing errors before acceptance. Delivery charges are set out on our Delivery & Returns page.
Orders are supplied against invoice. New accounts pay on proforma before dispatch. Approved trade accounts may be granted 30-day credit terms from the invoice date, subject to status and, where requested, two trade references. We may withdraw or reduce credit limits at any time on reasonable grounds. Late payments incur interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998.
Delivery dates are estimates given in good faith. Stocked lines ordered by 3pm on a working day are normally dispatched the same day. Time of delivery is not of the essence. Risk in the goods passes to you on delivery to the address you gave us; you should inspect goods on arrival and note any visible damage with the carrier.
Ownership of goods passes to us only when we receive payment in full for them. Until then you hold the goods for us, must store them so they are identifiable as ours, and may sell them in the ordinary course of business only. We may recover unpaid goods at any reasonable time.
Claims for shortages or transit damage must be notified within 3 working days of delivery. Unwanted stocked goods may be returned within 14 days of delivery if unused and in their original packaging; see our Delivery & Returns page for the process and charges. Bespoke, printed and specially imported goods cannot be returned unless faulty.
Dimensions, gauges, microns and GSM values are nominal manufacturing specifications and may vary within normal industry tolerances. Images are illustrative. If a specific property is critical to your application, tell us in writing before ordering and we will confirm suitability or advise against it.
Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot lawfully be excluded. Subject to that, we are not liable for loss of profit, revenue, goodwill or any indirect or consequential loss, and our total liability in respect of any order is limited to the price paid for that order.
We are not liable for delay or failure caused by events beyond our reasonable control, including port congestion, vessel delays, customs holds, carrier failures and industrial action. If such an event continues for more than 60 days, either party may cancel the affected order without charge for undelivered goods.

These terms are the entire agreement between us in relation to each order and replace any terms you seek to impose. If any clause is found unenforceable, the rest remain in force. These terms and any dispute arising from them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
